1. Acceptance of Terms
By accessing or using Vosqa ("the Service"), operated by The Future Of Accounting, Inc., a Delaware corporation, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms apply to all users of the Service, including organizations ("Employers") and individuals taking assessments ("Candidates").
2. Description of Service
Vosqa is a pre-employment testing platform that enables organizations to create, administer, and evaluate skills assessments for job candidates. The Service includes:
- Assessment creation and management tools
- Candidate invitation and tracking
- Secure test-taking environment with integrity monitoring
- Manual scoring and results reporting
- Payment processing for paid assessments
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
4. Employer Responsibilities
Organizations using Vosqa agree to:
- Use the Service only for lawful employment screening purposes
- Comply with all applicable employment and anti-discrimination laws
- Obtain necessary consents from candidates before assessment
- Use assessment results as one factor among many in hiring decisions
- Not use the Service to discriminate against protected classes
- Maintain confidentiality of assessment content and candidate data
- Respond to candidate data subject requests in a timely manner
- Configure appropriate data retention settings for your organization
5. Candidate Responsibilities
Candidates taking assessments agree to:
- Complete assessments honestly and without unauthorized assistance
- Not share, copy, or distribute assessment content
- Not use any tools, resources, or materials prohibited by the assessment
- Verify their identity as required
- Accept that their assessment session will be monitored for integrity as described in Section 6
6. Assessment Integrity
To maintain the validity of assessments, Vosqa implements the following integrity measures:
- Monitor browser activity during assessments (tab switches, window focus changes)
- Capture a photo at the start of the assessment for identity verification
- Capture periodic screenshots of the test interface (approximately every 30 seconds)
- Record timestamps and activity event logs
- Flag suspicious behavior for employer review
- Reserve the right to invalidate results where cheating is detected
Important: We do NOT use facial recognition or create biometric templates. Identity photos are reviewed manually by authorized employer administrators only.
By starting an assessment, candidates acknowledge they have been informed of these monitoring measures and agree to proceed.
7. No Automated Decision-Making
Assessment responses are scored manually by authorized personnel at the employer organization. Vosqa does not make automated hiring decisions. All scoring, evaluation, and hiring decisions are made by human reviewers at the employer organization. Assessment results should be used as one factor among many in hiring decisions.
8. Payment Terms
For paid assessments:
- Employers set compensation amounts for completed assessments
- Payments are processed through our payment provider (Ramp) and are not stored by Vosqa
- Candidates must provide valid payment information to receive compensation
- Payment eligibility is determined by the employer based on completion and quality criteria
- Vosqa is not responsible for payment disputes between employers and candidates
9. Intellectual Property
Vosqa's Property: The Service, including its design, features, and functionality, is owned by The Future Of Accounting, Inc. and protected by intellectual property laws.
Employer Content: Employers retain ownership of assessment content they create. By uploading content, employers grant Vosqa a license to use it solely to provide the Service.
Restrictions: You may not copy, modify, distribute, or reverse engineer any part of the Service without our written consent.
10. Prohibited Uses
You may not use the Service to:
- Violate any applicable laws or regulations
- Discriminate against individuals based on protected characteristics
- Transmit malware or harmful code
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to any systems
- Harvest or collect user information without consent
- Use automated tools to access the Service without permission
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:
- The Service will be uninterrupted or error-free
- Results will be accurate or reliable
- The Service will meet your specific requirements
Assessment results are one tool for evaluation and should not be the sole factor in hiring decisions.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE FUTURE OF ACCOUNTING, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless The Future Of Accounting, Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
14. Account Termination and Data Deletion
Termination by Us: We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice.
Termination by You: Employers may request account deletion at any time through the platform settings or by contacting us.
Upon Termination:
- Your right to use the Service ceases immediately
- You will have 30 days to export your data before deletion begins
- After the 30-day export window, your account and associated data will be permanently deleted
- Certain data may be retained longer as required by law (e.g., payment records for 7 years)
- Provisions that should survive termination (liability, indemnification, governing law) will remain in effect
15. Data Retention
Employers may configure data retention periods for their organization within platform limits:
- Assessment data: 90 days to 2 years (default: 2 years)
- Proctoring data (photos, screenshots, logs): 30 days to 90 days (default: 90 days)
- Data is automatically deleted after the configured retention period

16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Delaware.
17. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. For significant changes, we may also notify you by email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
